Context
Nvidia's blog of 3 September 2026 says it has agreed to acquire Hugging Face for 12,930,300,000 dollars. Nvidia's Form 8-K dates the definitive agreement to 2 September 2026 and describes about 11.9 billion dollars of purchase price payable to Hugging Face stockholders plus an equity retention program of up to about 1.0 billion dollars, with closing expected in the first half of 2027 subject to regulatory approvals. TechCrunch dated 3 September 2026 reports it as a deal to buy.
Paid and on 4 September are not supported. The agreement is dated 2 September 2026 and was announced on 3 September 2026, and the first-party text expects closing in the first half of 2027. No payment or completion evidence was inspected, and no evidence of a later closing was found either, so no completion is concluded. The 12.9 billion headline equals the 12,930,300,000 total in the blog, which the 8-K splits into a purchase price and a retention program, so paid 12.9 billion merges those two. That the moat moved from who trains to who owns the directory is the author's opinion.
